On January 19, 2005, the Company was established as a limited company under the law of Thailand. The Company was later converted into a public limited company on May 5, 2020, under the name of AssetWise Public Company Limited. In pursuit of business continuity and resilience, the Group was listed on the Stock Exchange of Thailand (“SET”) to raise capital for development of future real estate projects. AssetWise Company Limited was established with a registered capital of THB 1 million, comprising 10,000 ordinary shares with a par value of THB 100 per share.

The Company increased its registered capital from THB 1 million to THB 100 million through issuance of 990,000 new ordinary shares with a par value of THB 100 per share to raise capital for development of the Group’s real estate projects.

Three new companies were established to engage in real estate development for various brands under the Group:

  1. 39 Estate Company Limited (“39 Estate”) was established with a registered capital of THB 100 million, comprising 1 million ordinary shares with a par value of THB 100 per share, wherein the Company held 35% of shares.
  2. Prize Property Company Limited (“Prize Prop”) was established with a registered capital of THB 30 million, comprising 300,000 ordinary shares with a par value of THB 100 per share. The Company held 64% of shares.
  3. Estate Q Company Limited (“Estate Q”) was established with a registered capital of THB 1 million, comprising 10,000 ordinary shares with a par value of THB 100 per share, wherein the Company held 60% of shares.

Estate Q increased its registered capital to THB 100 million, comprising 1 million shares with a par value of THB 100 per share, to raise capital for project development, wherein the Company held 99.6% of shares.

The Group launched three low-rise condominium projects:

  1. B Campus Prachachuen — a condominium project operated by 39 Estate
  2. Modiz Ladprao 18 — a condominium project operated by Prize Prop
  3. Esta Phahonyothin — a condominium project operated by 39 Estate

39 Estate increased its registered capital from THB 100 million to THB 200 million through issuance of 1 million new ordinary shares with a par value of THB 100 per share to raise capital for project development, wherein the Company held 35% of shares.

Synergy Estate Company Limited (“Synergy Estate”) was established to engage in the development of residential properties, specifically townhomes and single-detached houses. Synergy Estate was registered with a capital of THB 50 million, comprising 500,000 ordinary shares with a par value of THB 100 per share, wherein the Company held 50% of shares.

The Group launched three low-rise condominium projects:

  1. H2 Ramindra 21 (Phase 1) — a condominium project operated by Estate Q
  2. H2 Ramindra 21 (Phase 2) — a condominium project operated by Estate Q
  3. Esta Bliss Ramindra — a condominium project operated by 39 Estate

Prize Development Company Limited (“Prize Dev”) was established with a registered capital of THB 10 million, comprising 100,000 ordinary shares with a par value of THB 100 per share, wherein the Company held 65% of shares. The business objective of Prize Dev was to engage in real estate development for various brands under the Group.

The Company commenced construction of The Honor, a single-detached housing project located in Soi Ladprao 18. The project is operated by Synergy Estate.

The Group launched its first high-rise condominium project under the name of Episode, which is located on Phahonyothin Road. The project is operated by Prize Dev.

Treasure M Company Limited (“Treasure M”) was established with a registered capital of THB 10 million, comprising 100,000 ordinary shares with a par value of THB 100 per share, wherein the Company held 96% of shares. The business objective of Treasure M was to engage in the development of community malls.

October 2016

Privilege Development Company Limited (“Priv Dev”) was established with a registered capital of THB 10 million, comprising 100,000 ordinary shares with a par value of THB 100 per share, wherein the Company held 96% of shares. The business objective of Priv Dev was to engage in real estate development.

Prize Prop increased its registered capital from THB 30 million to THB 35 million through issuance of 50,000 new ordinary shares with a par value of THB 100 per share to raise capital for project development. The Company purchased the newly issued shares and acquired existing shares from Vipanpong family, which caused its shareholding to increase from 64% to 76%.

The Company purchased the shares of Synergy Estate from Vipanpong family, which caused its shareholding in Synergy Estate to increase from 50% to 65%.

The Group launched one single-detached housing project and six low-rise condominium projects:

  1. The Honor Ladprao 81 — a single-detached housing project operated by Synergy Estate
  2. Wynn Chokchai 4 — a condominium project operated by Prize Prop
  3. Wynn Phahonyothin 52 — a condominium project operated by Estate Q
  4. Modiz Station (Phahonyothin Road) — a condominium project operated by Estate Q
  5. Modiz Interchange (Laksi Roundabout) — a condominium project operated by Estate Q
  6. Brown Ratchada 32 — a condominium project operated by Estate Q
  7. H2 Glo Ramindra 21 — a condominium project operated by Estate Q

The Company purchased the shares of 39 Estate from other shareholders, which caused its shareholding in 39 Estate to increase from 35% to 79.5%.

39 Estate’s project, Esta Bliss, won the Real Estate Project Awards 2017 from the Agency for Real Estate Affairs (AREA).

The Group launched five low-rise condominium projects:

  1. Brown Phahonyothin 67 - a condominium project operated by Estate Q
  2. Modiz Ratchada 32 - a condominium project operated by Estate Q
  3. Atmoz Ladprao 71 (Nak Niwat Road) - a condominium project operated by Estate Q
  4. Brown Ratchada-Huai Khwang (Soi Pracharat Bamphen 11) - a condominium project operated by Estate Q
  5. Kave Condo (opposite of Bangkok University) - a condominium project operated by Prize Dev

Cerebium Company Limited (“Cerebium”) was established with a registered capital of THB 1 million, comprising 10,000 ordinary shares with a par value of THB 100 per share, wherein the Company held 97% of shares. At the time of establishment, the business objectives of Cerebium were to engage in the development of products and technologies relating to real estate.

The Company co-invested with Baan Puripuri Holding Company Limited to form a joint venture, ABJV Company Limited (“ABJV”), with the objectives to develop two townhome projects and one home-office project. The joint venture was registered with a capital of THB 2 million, comprising 20,000 shares with a par value of THB 100 per share, wherein the Company held 51% of shares. In August 2018, ABJV increased its registered capital to THB 10 million, consisting of 100,000 shares. After capital increase, the Company’s shareholding in ABJV remained the same at 51%.

Privilege Solution Company Limited (“Priv Solution”) was established with a registered capital of THB 1 million, comprising 10,000 ordinary shares with a par value of THB 100 per share, wherein the Company held 100% of shares. The business objectives of Priv Solution were to provide services with respect to the collection of payments from international customers who purchased residential properties.

Priv Dev increased its registered capital from THB 10 million to THB 30 million through issuance of 200,000 new ordinary shares with a par value of THB 100 per share. The Company co-invested with Bluework JV1 Company Limited to engage in the development of a condominium project, namely Modiz Sukhumvit 50, wherein the Company held 55% of shares and Bluework JV1 Company Limited held 45% of shares.

39 Estate decreased its registered capital from THB 200 million to THB 50 million through reduction of the par value from THB 100 to THB 25 per share, totaling 2,000,000 shares. After capital decrease, the Company’s shareholding in 39 Estate remained unchanged.

BU Real Estate Company Limited (“BU Real Estate”) was established with a registered capital of THB 1 million, comprising 10,000 shares with a par value of THB 100 per share, wherein the Company held 100% of shares. The business objective of BU Real Estate was to engage in the development of a condominium project, specifically Kave Town Phase 3 and 4.

39 Estate decreased its registered capital from THB 50 million to THB 12.5 million by reducing the number of shares from 2,000,000 to 500,000 shares with a par value of THB 25 per share. After capital decrease, the Company’s shareholding in 39 Estate remained unchanged.

The Group underwent corporate restructuring in preparation for listing on the SET. Specifically, the Company increased its ownership stake in four subsidiaries, namely 39 Estate, Prize Prop, Synergy Estate, and Prize Dev, to 99.99% by means of share swap in which the Company offered 45,581 newly issued shares with THB 100 par value to the shareholders in exchange for their shares in the aforementioned subsidiaries. After restructuring, the Company’s registered capital increased from THB 100 million to THB 104.56 million.

The Group launched one single-detached housing project and five condominium projects:

  1. Atmoz Ladprao 15 — a condominium project operated by Estate Q
  2. Kave Town Space (adjacent to Bangkok University) — a condominium project operated by Estate Q
  3. Kave Town Shift (adjacent to Bangkok University) — a condominium project operated by Estate Q
  4. Atmoz Ratchada-Huai Khwang (Soi Sahakanpramun) — a condominium project operated by Estate Q
  5. Modiz Sukhumvit 50 — a high-rise condominium project operated by Priv Dev
  6. Glam (Satri Witthaya 2 Road) — a single-detached housing project operated by Synergy Estate

The Honor won the Asia Pacific Property Awards 2018–2019 for ‘Best Architecture Single Residence’ and ‘Best Residential Property’ in Asia Pacific.

TU Property Company Limited (“TU Prop”) was established with a registered capital of THB 1 million, comprising 10,000 ordinary shares with a par value of THB 100 per share, wherein the Company held 100% of shares. Its objective was to engage in the development of a condominium project, namely Kave TU.

Asset A Plus Company Limited (“Asset A Plus”) was established with a registered capital of THB 1 million, comprising 10,000 ordinary shares with a par value of THB 100 per share, wherein the Company held 100% of shares. Its objective was to provide real estate brokerage services.

Wise Estate 1 Company Limited (“Wise Estate 1”) was established with a registered capital of THB 1 million, comprising 10,000 ordinary shares with a par value of THB 100 per share, wherein the Company held 100% of shares. Its objective was to engage in the development of a condominium project, namely Modiz Ramkhamhaeng.

Wise Estate 2 Company Limited (“Wise Estate 2”) was established with a registered capital of THB 1 million, comprising 10,000 ordinary shares with a par value of THB 100 per share, wherein the Company held 100% of shares. Its objective was to engage in the development of a condominium project, namely Modiz Srinakarin.

The Company increased its registered capital from THB 104.56 million to THB 555 million through issuance of 4,504,419 new ordinary shares with a par value of THB 100 per share.

TU Prop increased its registered capital from THB 1 million to THB 12 million through issuance of 90,000 new ordinary shares with THB 100 par value to the shareholders in proportion to their existing shareholding, as well as issuance of 20,000 preferred shares with THB 100 par value to the Company, whereafter the Company sold 10,000 preferred shares to Ideal Real Company Limited.

The Group launched one townhome project and four condominium projects:

  1. Baan Puripuri Ladprao 41 — a townhome project operated by ABJV
  2. Atmoz Chaengwattana (Prachachuen Road) — a condominium project operated by Estate Q
  3. Ivory Ratchada 32 — a condominium project operated by Estate Q
  4. Modiz Collection Bangpho (Pracharat Road) — a high-rise condominium project operated by Estate Q
  5. Kave TU Phase 1 (adjacent to Thammasart University Rangsit Campus) — a condominium project operated by TU Prop

The Company was awarded the ‘Top Ten Developers’ at BCI Asia Awards 2019, with recognition given to Atmoz Ladprao 71, Atmoz Ladprao 15, and Modiz Sukhumvit 50.

The Company won the ‘Highly Commended’ awards at Property Guru Thailand Property Awards 2019 for:

  1. Best Boutique Developer
  2. Best Housing Interior Design, which was awarded to Glam project
  3. Best Mid End Condo Development, which was awarded to Modiz Collection Bangpho project
  4. Best Affordable Condo Development, which was awarded to Atmoz Ladprao 71 project

The Company received ‘Gold Award’ in the manufacturing category at SMEs Excellence Awards 2019, which was organized by Thailand Management Association in collaboration with Sasin Graduate Institute of Business Administration, Chulalongkorn University.

Kave Condo was awarded the ‘Best Condominium’ at Asia Pacific Property Awards 2019–2020.
